Who may not be appointed a director in Kenya?

1. Any adult Kenyan of Sound Mind.
2. Any adult Foreigner of sound Mind
3. Any adult that has not been disqualified by a court from being a director
4. Any adults who is an undischarged bankrupt

Types of directors in Kenya

1. Director without shares
2. Director With shares.

Procedure for appointment of director in company?

A director in a company may be appointed at the registration of a company or by a resolution of the board of the company on a later date after registration.

Appointment of a director by a General Meeting of the Company:

1. Form CR 6 - Notice of appointment of directors and their particulars;
2. Form CR 8 - Notice of residential address / change of residential address of director
3. Form CR 19 – Notice of ordinary resolution appointing the director.
4. Letter of Consent to Act as a Director.
5. Minutes of the resolution meeting.
6. Transfer of shares affidavit where there is a change of shareholding.
7. Transfer of share certificate in case of a transfer of shares to the incoming director.
8. Notice of allotment of shares where shares are assigned to the incoming director.
9. Interim annual return to show the effected changes.

Requirements for appointment of a director in Kenya

1. Copy of ID or passport of incoming director / shareholder
2. Passport photo of incoming director.
3. Residential address of the incoming director.
4. Contact information including Telephone number, postal address and email address of the director.
5. Copy of PIN certificate for Kenyan directors.
6. Letter of consent to act as a director in the company
