Procedure for appointment of director in company?
A director in a company may be appointed at the registration of a company or by a resolution of the board of the company on a later date after registration.
Appointment of a director by a General Meeting of the Company:
- Form CR 6 - Notice of appointment of directors and their particulars;
- Form CR 8 - Notice of residential address / change of residential address of director
- Form CR 19 – Notice of ordinary resolution appointing the director.
- Letter of Consent to Act as a Director.
- Minutes of the resolution meeting.
- Transfer of shares affidavit where there is a change of shareholding.
- Transfer of share certificate in case of a transfer of shares to the incoming director.
- Notice of allotment of shares where shares are assigned to the incoming director.
- Interim annual return to show the effected changes.
Requirements for appointment of a director in Kenya
- Copy of ID or passport of incoming director / shareholder
- Passport photo of incoming director.
- Residential address of the incoming director.
- Contact information including Telephone number, postal address and email address of the director.
