To convert a business name, sole proprietorship or partnership into a private limited company in Kenya, log into the BRS/eCitizen account linked to the business name, open the business record, choose Maintain Company / Make Application, select Cessation to Convert, upload the signed DN-6 form, pay the BRS fee and wait for approval. Once the cessation is approved, the portal allows you to start the conversion and complete the private limited company registration details.

A business name is not the same legal structure as a company. Conversion involves cessation of the business name for purposes of conversion, then registration of the new company with its own certificate of incorporation, company number, shareholding structure and post-registration obligations.

BRS lists cessation of a business name as approximately 1 day and private limited company registration as approximately 3–5 days. In practice, allow about 5–10 working days for a clean conversion where the business is linked and all documents are correct.

After conversion, the new entity is treated as a company rather than a sole proprietorship or partnership. This affects registration documents, banking, tax setup and business correspondence.
Do not continue issuing invoices, contracts or receipts under the old business name once the limited company is operational. Update your business records, bank instructions, KRA profile, county licence and supplier/customer records to avoid confusion.
